- No Alteration: You may not alter, change or modify Janam graphics in any way whatsoever. Janam approved artwork may only be used as portrayed in the attached usage guidelines incorporated herein by this reference. Download and review the Adobe® Acrobat® versions of these guidelines from this page.
- No endorsement: Permission to use and display the Janam graphics does not mean and shall not be construed to mean an endorsement, partnership or joint venture between you and Janam. Neither Janam nor you shall have any right to obligate or bind the other in any manner whatsoever, and nothing contained herein shall imply or give, or is intended to imply or give, any rights whatsoever to you or any third party.
- Limitation on Use: You shall not use the Janam graphics on or in connection with products or services that could be deemed by Janam, in its sole judgment, to mislead, confuse, or misinform the marketplace, or to violate Janam ownership rights in the Janam graphics or any of its products or otherwise misuse or bring into dispute or disrepute the Janam graphics, Janam products, or Janam as an entity. Janam reserves the right to object to and refuse uses or misuses of the Janam graphics for any reason whatsoever or for no reason.
- Certain Prohibitions: You shall not (a) challenge Janam's ownership or use of the Janam graphics or other Janam-owned marks; (b) combine any of your names or marks with the Janam graphics. If Janam notifies you of any such confusion or risk of confusion, you shall take appropriate steps to immediately remedy or avoid such confusion or risk thereof, including immediate assignment of any such registrations, domain names or rights to Janam at your expense; (c) remove, alter, or add to the Janam graphics; or (d) use or register in any country any trademarks, service marks, trade names or internet domain names containing or similar to the Janam graphics.
- Indemnification: You hereby agree to indemnify and hold Janam, and its directors, officers, and employees harmless against any loss, liability, damage, cost or expense, including reasonable legal fees, arising out of any claims or suits, which may be brought or made against Janam (a) by reason of your non-compliance with this Agreement, including, without limitation, breach of any of your duties or obligations hereunder; (b) arising out of use by you of the Janam graphics; and/or (c) for any personal injury, product liability, professional liability, tort or other claim arising from the production, promotion, distribution, sale, offer for sale, giving away, use, misuse or performance (or both) of your products or any related products or services, or any contents thereof.
- No Warranties by Janam; Limitation of Liability: You acknowledge and agree that all use of the Janam graphics by you is strictly at your own risk, that the Janam graphics are provided by Janam on an "as is" basis, and that to the maximum extent allowed by law, Janam disclaims any representations and warranties, express or implied, regarding the Janam graphics, including, without limitation, fitness for any particular purpose, non-infringement and merchantability. Janam's sole liability to you for any damages resulting from the use of the Janam graphics or, and for any damages resulting out of this use, is limited to the fees paid by you to Janam for the use thereof.
- Right to Terminate: Janam shall have the right to terminate this Agreement with or without cause, on thirty (30) days written notice to you. Janam does not warrant that the Janam graphics will be available for use by you or by any third party and may withdraw its permission given hereunder at any time for any cause or for no cause.
- Legal Costs: If any legal action is brought against you by Janam to enforce or interpret this Agreement, Janam, if it substantially prevails in such litigation, shall recover from you its legal expenses, including without limitation, reasonable attorneys fees and other costs incurred in that legal action, in addition to any and all other relief to which it may be entitled. You further agree that any uncured material breach by you of this Agreement will cause irreparable harm to Janam and its goodwill in the Janam graphics, such that Janam shall be entitled to preliminary and permanent injunctive relief, in addition to monetary damages, in the event of such a breach.
- Governing Law: This Agreement will be governed by and construed in accordance with the laws of the State of New York without giving effect to the conflict of law principles thereof. You agree that any action arising out of or in connection with this document will be brought in the United States District Court for the County of Suffolk, New York, which court shall have exclusive jurisdiction over any such action, and each of the parties hereby consents to the personal jurisdiction of, and waives any objection to venue in, such court.
- Entire agreement and waivers: This Agreement and the attachments and links thereto constitute the entire agreement between the parties concerning the Janam graphics and the subject matter hereof. No waiver of any of the provisions of this Agreement shall be deemed, or shall constitute, a waiver of any other provision, whether or not similar, nor shall any waiver constitute a continuing waiver. No waiver shall be binding unless executed in writing by the party making the waiver. Failure by either party to enforce any provision of this Agreement will not be deemed a waiver of future enforcement of that or any other provision.
- Authorization: The individual accepting this agreement represents and warrants that he/she is duly authorized to enter into this agreement on behalf of his/her company.
- Change in terms by Janam: You agree that Janam may change any or all terms of this agreement at any time in Janam's sole discretion by providing ten (10) days notice to you. Your continued use and display of the Janam graphics after issuance of such notice will constitute your acceptance of any and all changed terms. If you do not accept such change in terms, you must promptly cease all use of the Janam graphics at your own cost.

Agreement for using Janam Technologies, LLC ("Janam") graphics library including graphics, logos, trademarks, service marks, design marks and trade names (hereinafter referred to as "Janam graphics")

You must carefully read all the terms, conditions, and usage and display guidelines before downloading and using any graphics provided by Janam. The use by you of any Janam graphics shall be deemed to confirm your acceptance of these terms, conditions, and usage and display guidelines.
If you do not agree with and accept these terms, conditions, and usage and display guidelines, you may not download or use any of the graphics provided by Janam.
